Public Offer Agreement (Contract of Sale for Goods in the Online Store)

1. General Provisions

1.1. This document is an official public offer (the Offer) by Vasyl Brovchenko, Ukraine, 07402, Kyiv Region, Brovary, 26 Feldmana Street (hereinafter referred to as the Seller), to conclude a contract of sale for goods presented in the online store at https://vasylbrovchenko.com, under the terms defined below.

1.2. The terms of this Offer are identical and mandatory for all users of the website.

1.3. Full and unconditional acceptance (Acceptance) of this Offer occurs by the Buyer placing an order on the website and/or making an advance payment for the Goods, which signifies the Buyer's acquaintance with and consent to all terms of the contract.

 

2. Terms and Definitions

  • Seller — Vasyl Brovchenko , who sells the Goods presented on the website.

  • Buyer — any legally capable individual or legal entity who has accepted this Offer and places an order for Goods.

  • Online Store — the website https://vasylbrovchenko.com, which serves as a means for presenting and selling the Goods belonging to the Seller.

  • Goods — the published list of footwear and other related products, for which the price, name, and description are indicated.

 

3. Subject of the Agreement

3.1. The Seller undertakes, under the terms of this Offer, to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to accept the Goods and pay their cost.

3.2. The quantity, assortment, characteristics, and full price of the Goods are determined in the confirmed order placed by the Buyer.

3.3. The Contract is considered concluded from the moment the Buyer receives electronic confirmation of the order placement from the Seller or from the moment the invoice for payment is issued.

 

4. Order Placement Procedure

4.1. The order is placed by the Buyer independently on the website by adding the Goods to the "Cart" and filling in the required fields, or through a manager via phone or other means of communication.

4.2. After placing the order, the Seller is obliged to notify the Buyer of the availability of the ordered Goods, delivery times, and final cost.

4.3. In the event that the Goods are out of stock, the Buyer may place a pre-order.

4.4. During a pre-order, funds are debited from credit cards at the moment of placing the order.

4.5. The manufacturing and shipment process for a pre-order is from 14 to 30 working days from the moment of payment.

 

5. Price and Payment Terms

5.1. Prices for the Goods are indicated on the website in the national currency of Ukraine Hryvnia (UAH) — including VAT (if the Seller is a VAT payer).

5.2. The Seller has the right to unilaterally change the prices for the Goods until the moment the order is placed and confirmed.

5.3. Payment is made online through integrated payment systems.

5.4. In case of a price change for the Goods ordered by the Buyer, the price valid at the time of order confirmation shall apply.

 

6. Delivery and Receipt of Goods

6.1. Delivery throughout Ukraine and worldwide is carried out by the international delivery service NOVA GLOBAL.

6.2. The terms, cost, and delivery times are specified on the website in the "Delivery and Shipment" section or are additionally agreed upon with the manager.

6.3. Any delivery date or time indicated by the Seller is approximate and is not a final deadline for fulfilling the obligations.

6.4. The Seller shall not be liable for any direct or indirect losses or damages that the Buyer may incur as a result of delivery delays.

6.5. All Goods are insured against theft and accidental damage until the moment of their actual transfer to the Buyer.

6.6. From the moment of the actual transfer of the delivered Goods to the Buyer (confirmed by a signature on the delivery documents), the order is considered accepted.

6.7. Upon receipt of the Goods, the risk of accidental loss or damage is transferred to the Buyer, and the Goods are no longer covered by the Seller's insurance policy.

 

7. Return and Exchange of Goods

7.1. The return and exchange of Goods are carried out in accordance with the provisions of the Law of Ukraine "On Protection of Consumer Rights".

7.2. Goods of proper quality may be returned or exchanged within 14 (fourteen) calendar days from the moment of receipt, provided that the Goods have not been used and their commercial appearance, consumer properties, seals, and settlement document (check, invoice) have been preserved.

7.3. Goods of improper quality are subject to replacement or refund of funds in accordance with the requirements of current legislation.

 

8. Warranties and Quality of Goods

8.1. The Seller guarantees that all Goods are new, unused, and of proper quality at the time of shipment.

 

9. Liability of the Parties

9.1. The Seller is responsible for the non-fulfillment or improper fulfillment of the terms of this Offer in the manner prescribed by the current legislation of Ukraine.

9.2. The Seller is not responsible for damages caused to the Buyer as a result of improper use or storage of the purchased Goods.

9.3. All disputes arising between the Parties shall be resolved through negotiations. In case of failure to reach an agreement, disputes shall be considered in court in accordance with the current legislation of Ukraine.

 

10. Confidentiality and Protection of Personal Data

10.1. The Seller processes the Buyer's personal data exclusively for the purposes of fulfilling the terms of this Contract (placement, delivery, warranty service).

10.2. Detailed terms of data processing and protection are set out in the document "Privacy Policy," which is an integral part of this Offer.

 

11. Final Provisions

11.1. This Contract enters into force from the moment of its Acceptance by the Buyer and is valid until the full fulfillment of obligations by the Parties.

11.2. The Seller has the right to change the terms of this Offer by publishing a new edition on the website. Changes take effect from the moment of their publication.

11.3. All issues not regulated by this Offer are governed by the current legislation of Ukraine.

 

12. Force Majeure Circumstances

12.1. The Parties shall be released from liability for non-performance of obligations in the event of Force Majeure circumstances that arose through no fault of the Parties and that could not have been foreseen or prevented.

12.2. Such circumstances include: war, martial law, terrorist acts, fires, floods, other natural disasters, epidemics, strikes, decisions of state authorities, disruptions in electricity and internet supply, and failures of payment systems.

12.3. The term for the performance of obligations shall be extended for the duration of such circumstances.

12.4. In the event that the duration of the Force Majeure circumstances exceeds 60 (sixty) calendar days, either Party shall have the right to unilaterally terminate this Agreement.
